These Terms of Service ("Terms") govern your access to and use of the Kudu WorkSpace platform, websites, mobile and desktop applications, and related services (collectively, the "Services") provided by Africa This and That Trading (PTY) LTD ("we", "us", "our"), trading as Kudu WorkSpace, with registered address at 8 Fairway Drive, Kibler Park, Johannesburg, Gauteng, 2091, South Africa.

By creating an account or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and account

You must be at least 18 years old and able to form a legally binding contract. You are responsible for the confidentiality of your account credentials and for all activity under your account.

2. Subscription, billing and payments

The Services are sold on a subscription basis. Pricing is shown on our Pricing page. Payments are processed by our merchant of record, Paddle.com Market Limited, who acts as the seller of record for your order, handles payment processing, taxes and refunds on our behalf.

Subscriptions automatically renew at the end of each billing cycle unless cancelled. You can cancel at any time from your workspace settings or by emailing support@kuduworkspace.com.

3. Free trials

We may offer free trials. At the end of the trial period your subscription will convert to a paid plan unless you cancel beforehand.

4. Acceptable use

Your use of the Services is also governed by our Acceptable Use Policy. We may suspend or terminate accounts that violate it.

5. Your data

You retain all rights in the data you upload to the Services ("Customer Data"). You grant us a limited, non-exclusive licence to host, process and display Customer Data solely to provide the Services. Our handling of personal information is described in our Privacy Policy.

6. Intellectual property

We and our licensors own all rights in the Services, including software, design, trademarks and content (excluding Customer Data). No rights are granted to you except as expressly set out in these Terms.

7. Service availability

We work hard to keep the Services available, but we do not guarantee uninterrupted access. Planned maintenance, security incidents and third-party outages may affect availability.

8. Termination

You may terminate at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Services in a way that risks harm to us or other users. Upon termination, your right to use the Services ends and we may delete Customer Data after a reasonable retention period.

9. Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to the Services will not exceed the amounts you paid us in the twelve months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential or punitive damages.

11. Indemnity

You agree to indemnify us against claims arising from your Customer Data, your use of the Services in breach of these Terms, or your violation of applicable law.

12. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. Material changes will be communicated via email or in-product notice. Continued use after changes take effect means you accept them.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of South Africa. The parties submit to the exclusive jurisdiction of the courts of South Africa, without prejudice to mandatory consumer protection laws of your country of residence.
